By accepting these Terms, you and Boreas agree to the following.
1. What Boreas Does
Boreas designs, builds, and manages your business website. We handle hosting, domain management, ongoing edits, and an SEO foundation. One team. One fee.
The monthly fee includes up to two hours of update work per month. This covers content changes, image swaps, copy edits, and minor layout adjustments. Requests that exceed two hours in a given month are treated as add-on work under Section 2.
2. What Boreas Does Not Do
We do not run paid advertising campaigns. We do not produce video content. We do not handle email marketing. We do not manage your social media accounts. We do not provide legal, financial, or tax advice.
If you need something outside the standard service, ask. Add-on work is quoted at a flat fee per project, agreed in writing before work begins. Some things we can do. Some things we cannot.
3. The Fee
$250 CAD per month. Flat. Billed monthly in advance through Stripe. No setup fees. No project fees. No surprise invoices.
The fee includes hosting and, where applicable, domain registration. It does not include third-party costs you elect to add: premium stock imagery you specifically request, paid integrations you ask us to install, or similar. We tell you about these costs before they apply.
4. Payment Terms
Your first payment is due at the moment you accept these Terms. Each subsequent payment runs automatically on the same calendar day each month through Stripe.
If a payment fails, the following sequence applies:
- Day 1: Stripe retries automatically. We send you one email.
- Day 7: We send a personal follow-up. Your site remains live.
- Day 14: If payment has not cleared, your site is paused. Files are preserved. No work is performed. The site goes live again the next business day after payment clears.
- Day 30: If payment has not cleared, the relationship terminates. Section 9 governs what happens to your assets.
Boreas does not delete your site files during this window. We preserve them for thirty days after termination, then remove them.
5. Term and Cancellation
This agreement begins on the date of your first payment and runs for a minimum of six months.
After the six-month minimum, either party may cancel with thirty days written notice. Email is sufficient. The clock starts the day the notice is received.
If you cancel before the six-month minimum is complete, the remaining months of the minimum term are due. For example, if you cancel after month two, months three through six are invoiced at $250 each and due within fourteen days.
We may also end the relationship with thirty days written notice. Reasons include unpaid invoices not resolved under Section 4, requests that fall outside the agreed scope and remain unresolved after reasonable notice, or conduct that makes the work unworkable.
If your business closes permanently, the agreement terminates on thirty days written notice with no early-exit fee. Verification may be requested.
6. Delivery and Acceptance
When your site is ready, we send you a written delivery notice with the live URL. You have five business days to review and raise any concerns in writing.
If you do not raise concerns within five business days, delivery is accepted. Continued use of the site also constitutes acceptance. Once accepted, the site enters the ongoing service phase under Section 1.
Before delivery, two major revision rounds are included. A major revision is a substantive change to layout, structure, or content direction. Minor adjustments are handled continuously. After launch, all updates fall under the two-hour monthly bucket in Section 1.
7. What You Own
You own all content you provide: text, photos, logos, brand assets, business information. We use these only to build and maintain your site.
You own all content we produce specifically for you: copywriting, custom graphics, and photography produced for your site. This ownership is active as long as your account is in good standing.
8. What Boreas Owns
We retain ownership of the Boreas design system, including our templates, component library, code patterns, internal tooling, and methodology. These are not sold or transferred under this agreement.
9. What Happens When You Leave
If you exit in good standing — meaning no outstanding invoices, thirty-day notice given, and the six-month minimum completed — we provide a static export of your site and transfer full DNS control of your domain to you. You may move your site to any host.
If you exit with outstanding balances, your site files and domain management access remain with Boreas until the balance is settled. Once settled, the static export and DNS transfer proceed as above.
We do not transfer the Boreas design system, build templates, or any internal code not specific to your site under any circumstance.
10. Hosting
Hosting fees are absorbed into the $250 monthly fee. We manage hosting on your behalf through Hostinger. The hosting account belongs to you. When the relationship ends, we transfer access to you in full.
11. Your Domain
If you have a domain at the start, we work with your existing registrar via DNS access. The domain stays in your name throughout.
If you do not have a domain, we register one under your name and contact information. You own it from day one. We hold management access only to operate the site. On exit in good standing, management access transfers to you immediately.
12. No Guarantee of Business Outcomes
Boreas builds and maintains your website. We do not guarantee any specific business result from that website. This includes but is not limited to: search engine rankings, website traffic, leads, sales, or revenue. Results depend on factors outside our control.
13. Limit of Liability
Boreas is liable to you for direct damages only, capped at the fees paid in the one month immediately before the claim. We are not liable for indirect, incidental, consequential, or punitive damages. We are not liable for lost profits or lost business.
You take responsibility for the accuracy of the content you give us and for any product, service, or claim made on your site.
14. Privacy
We collect and use information about you and your business only to deliver the service. We comply with the Personal Information Protection and Electronic Documents Act (PIPEDA). Our full Privacy Policy is at boreasagency.ca/privacy.
15. Confidentiality
We keep your business information private. You keep ours private. This includes our methods, internal documents, and any non-public information about either party.
16. Changes to These Terms
If we update these Terms, we email you the changes at least thirty days before they take effect. You may cancel under Section 5 during that window if you do not agree.
17. Governing Law
These Terms are governed by the laws of Ontario, Canada. Any dispute is resolved in the courts of Ontario.
18. The Whole Agreement
These Terms are the whole agreement between you and Boreas. Anything discussed before that is not written here is not binding. Anything added later is binding only if both parties agree in writing.
